These Terms of Use ("Terms") and the separately posted Privacy Policy together govern your access and use of the ZipClips mobile application and website at getzipclips.com (collectively the "App"). The App is operated by SunnyDay Ventures, LLC, a Pennsylvania limited liability company ("SunnyDay Ventures," "we," "our," or "us"). Please read these Terms carefully before you start to use the App.
By accessing or using the App, you accept and agree to be bound by and comply with these Terms, the separately posted Privacy Policy, and applicable laws and regulations. If you do not agree to be bound by these Terms, you must discontinue use of the App.
The App is offered and available to users who are 13 years of age or older. Users between the ages of 13 and 17 must have parental or guardian consent to use the App. By using the App, you represent and warrant that you meet these requirements.
SunnyDay Ventures reserves the right to revise these Terms at any time. Material changes will be communicated to users via email prior to taking effect. The date of the last revision will appear at the top of these Terms. Your continued use of the App after any changes constitutes your acceptance of the revised Terms.
SunnyDay Ventures reserves the right to discontinue operation of the App or any portion thereof at any time. In the event of a planned shutdown, we will provide users with at least 60 days advance notice via email and the ability to download their content before the service closes. The restrictions, disclaimers, indemnities, and limitations of liability set forth in these Terms shall survive any termination.
The text, images, graphics, logos, and other material provided as part of the ZipClips interface and platform (excluding user-generated content) are referred to collectively as the "Content." Unless otherwise noted, all Content is protected by copyrights, trademarks, service marks, and other proprietary rights owned by SunnyDay Ventures.
You may view and use the Content only for your personal use of the App. You may not reproduce, copy, modify, transmit, distribute, sell, license, or commercially exploit any Content without our express written consent.
ZipClips allows you to capture, upload, record, and share photos, videos, voice notes, text captions, and comments ("User Content") within private Groups with invited members.
You own your User Content. You retain all intellectual property rights in the content you create and share through ZipClips. By submitting User Content, you grant SunnyDay Ventures a limited, non-exclusive, royalty-free license to store, display, and deliver your User Content solely for the purpose of providing the ZipClips service to you and the Group members you have chosen to share with. We do not use your User Content for any other purpose, including advertising, AI training, or data licensing.
You are solely responsible for your User Content and represent and warrant that:

We have the right but not the obligation to review, monitor, and remove User Content that violates these Terms. We will not be liable for any failure to remove, or delay in removing, content that violates these Terms.
ZipClips is built around private Groups — invite-only spaces where members share photos, videos, and voice notes. By creating or joining a Group:
ZipClips allows you to record short voice notes (up to 20 seconds) to attach to photos and videos, and voice comments on other members' content. By using these features:
Your content belongs to you. You have the right to delete any content you have uploaded or recorded at any time. You also have the right to delete your entire account and all associated content at any time. Upon account deletion, all your content will be permanently removed from our servers within 30 days. You may request a download of your content at any time by contacting us at getzipclips@gmail.com.
ZipClips does not display advertisements within the App and does not use your personal information or content for advertising purposes. We do not sell your data to advertisers or data brokers.
You may opt in to notifications from us by email, text (SMS), or both. If you choose text messages you will be asked upon signup to agree to receive text messages through an opt-in process. If you no longer want messages, you will be able to change this setting in the App or reply STOP to opt out, HELP for help. The information gathered during the SMS opt-in will not be shared or sold to third parties, especially for promotional purposes. If you choose to receive messages, message and data rates may apply.

The App may contain links to third-party websites. These links do not constitute endorsement by SunnyDay Ventures of those websites. We are not responsible for the content, policies, or practices of any linked third-party sites.
THE APP AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, OR ACCURACY. SUNNYDAY VENTURES DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
UNDER NO CIRCUMSTANCES SHALL SUNNYDAY VENTURES, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO USE THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM.
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS SUNNYDAY VENTURES, ITS AFFILIATES, AND ITS RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM AND AGAINST ALL CLAIMS, LOSSES, DAMAGES, LIABILITIES, AND COSTS (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATING TO YOUR BREACH OF THESE TERMS OR YOUR USE OF THE APP.
You agree to use the App only in a legal and ethical manner. You must not:
Users must be at least 13 years old to create an account. Users between 13 and 17 may use the App only with parental or guardian consent and supervision. Parents and guardians are responsible for monitoring their minor children's use of the App and the content their children share or receive.
These Terms constitute the entire agreement between you and SunnyDay Ventures with respect to your use of the App and supersede all prior agreements. If any provision of these Terms is found to be unlawful or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflicts of law provisions. Any disputes arising out of or related to these Terms or your use of the App shall be resolved exclusively in the federal or state courts located in Montgomery County, Pennsylvania.
EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP.
